Oklahoma's April 30 deadline — what you need to know

Unlike most states, Oklahoma uses a single fixed deadline for all LLCs and corporations: April 30 every year. It doesn't matter when you formed your LLC — whether January or December, your annual certificate is always due April 30.

The filing is called the Annual Certificate (not an annual report). It's filed with the Oklahoma Secretary of State and confirms your registered agent, principal office, and officer information is still current.

Your first annual certificate is due April 30 of the year following your formation. So if you formed in November 2025, your first filing is due April 30, 2026.

Frequently asked questions

About Oklahoma LLC filing deadlines.

Oklahoma annual certificates are due April 30 every year, regardless of when your LLC was formed. This is a fixed statewide deadline — not based on formation month. Every active Oklahoma LLC and corporation must file by April 30 or face late fees starting at $25/month.
No. Unlike many states (which base annual report deadlines on your formation anniversary), Oklahoma has a single fixed deadline: April 30 for all entities. Whether you formed in January or November, your annual certificate is always due April 30. Your first filing is due April 30 of the year after formation.
Oklahoma's annual certificate is the annual compliance filing required for all Oklahoma LLCs, domestic corporations, and foreign entities registered in Oklahoma. It confirms your registered agent, principal office address, and officer/member information is current. Other states call this an "annual report" — Oklahoma calls it an Annual Certificate. Oklahoma charges late fees for delinquent annual certificates — typically $25 per month or 10% of the state fee per month, whichever is greater. After prolonged non-compliance, the Secretary of State may administratively dissolve your LLC. This ends your company's legal status and removes liability protection. Reinstatement is possible but costs more time and money than simply filing on time.
There is no official grace period. Late fees begin accruing after April 30. The Secretary of State does not typically initiate dissolution immediately — but fees accumulate monthly, and the longer you wait, the more it costs to get back into compliance. The safest approach is to file before April 30.
Yes. The annual certificate requirement applies to all active Oklahoma LLCs regardless of revenue, activity level, or size. Even a dormant LLC that made no money must file an annual certificate by April 30 to maintain its legal status. If you want to permanently close the LLC, you need to file articles of dissolution — not just skip the annual certificate.
